Terms of Service

By accessing and using Vortexron's services, you agree to be bound by these Terms of Service and all applicable laws and regulations. If you do not agree with any of these terms, you are prohibited from using our services.

These terms constitute a legally binding agreement between you and Vortexron. Your continued use of our services constitutes acceptance of any modifications to these terms.

We reserve the right to update these terms at any time without prior notice. It is your responsibility to review these terms periodically for changes.

Vortexron provides enterprise technology solutions including but not limited to digital transformation consulting, cloud solutions, data analytics, cybersecurity services, and custom software development.

Our services are provided "as is" and "as available" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement.

We reserve the right to modify, suspend, or discontinue any aspect of our services at any time without prior notice. We will not be liable for any modification, suspension, or discontinuation of our services.

To access certain features of our services, you may be required to create an account. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

You agree to provide accurate, current, and complete information when creating your account and to update such information to maintain its accuracy. You must immediately notify us of any unauthorized use of your account.

We reserve the right to suspend or terminate your account at any time for violations of these terms or for any other reason deemed necessary by us.

You agree to use our services only for lawful purposes and in accordance with these terms. You are prohibited from using our services:

• To violate any applicable laws, regulations, or third-party rights • To transmit any harmful, threatening, abusive, or defamatory content • To interfere with or disrupt the integrity or performance of our services • To attempt to gain unauthorized access to our systems or networks • To engage in any activity that could damage, disable, or impair our services

Violation of these acceptable use provisions may result in immediate termination of your access to our services and potential legal action.

All content, features, and functionality of our services, including but not limited to text, graphics, logos, software, and data compilations, are owned by Vortexron or its licensors and are protected by copyright, trademark, and other intellectual property laws.

You are granted a limited, non-exclusive, non-transferable license to access and use our services for your internal business purposes. This license does not include any right to resell, distribute, or create derivative works.

Any unauthorized use of our intellectual property is strictly prohibited and may result in criminal and civil penalties. You agree to respect all intellectual property rights and to report any suspected infringement to us immediately.

Payment terms for our services are specified in your service agreement or invoice. All fees are non-refundable unless explicitly stated otherwise. You are responsible for all taxes associated with your use of our services.

We accept payment by credit card, bank transfer, or other methods as specified in your agreement. All payments must be made in the currency specified in your invoice. Late payments may incur additional charges as specified in your agreement.

We reserve the right to suspend or terminate services for non-payment. If your payment method fails, you agree to provide an alternative payment method promptly. You are responsible for keeping your payment information current and accurate.

Your privacy is important to us. Our Privacy Policy, which is incorporated into these terms by reference, describes how we collect, use, and protect your personal information. By using our services, you consent to our privacy practices.

We implement appropriate security measures to protect your data against unauthorized access, alteration, disclosure, or destruction. However, no method of transmission over the internet is 100% secure, and we cannot guarantee absolute security.

You retain ownership of any data you provide to us. We will not access, use, or disclose your data except as necessary to provide our services or as required by law. You are responsible for backing up your data and for any data loss that may occur.

Service level commitments, if any, are specified in your individual service agreement. We strive to maintain high availability and performance of our services but cannot guarantee uninterrupted service.

Scheduled maintenance may result in temporary service interruptions. We will provide reasonable notice of scheduled maintenance whenever possible. Emergency maintenance may be performed without prior notice.

Service credits, if applicable, will be provided according to the terms specified in your service agreement. Service credits are your sole remedy for service level failures and our sole liability for such failures.

To the maximum extent permitted by law, Vortexron shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities.

Our total liability for any claims arising out of or related to these terms or our services shall not exceed the amount paid by you for our services during the twelve (12) months preceding the claim. This limitation applies regardless of the legal theory on which the claim is based.

Some jurisdictions do not allow the exclusion or limitation of certain damages, so the above limitations may not apply to you. In such cases, our liability will be limited to the maximum extent permitted by applicable law.

You agree to indemnify, defend, and hold harmless Vortexron and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney fees) arising out of:

• Your use of our services • Your violation of these terms • Your violation of any rights of another party • Any content you submit, post, or transmit through our services

This indemnification obligation will survive termination of these terms and your use of our services. We reserve the right to assume the exclusive defense and control of any matter subject to indemnification by you.

Either party may terminate the service agreement at any time with written notice as specified in your individual agreement. We may terminate your access immediately for material breach of these terms.

Upon termination, your right to use our services will cease immediately. We may delete your account and data at any time after termination. You are responsible for exporting any data you wish to retain before termination.

Provisions of these terms that by their nature should survive termination will remain in effect after termination, including but not limited to liability limitations, indemnification obligations, and dispute resolution procedures.

These terms are governed by and construed in accordance with the laws of the jurisdiction where Vortexron is incorporated, without regard to conflict of law principles.

Any disputes arising out of or relating to these terms or our services will be resolved through binding arbitration in accordance with the rules of the applicable arbitration association. The arbitration will be conducted in English and the arbitrator's decision will be final and binding.

If any provision of these terms is found to be unenforceable, the remainder of the terms will remain in full force and effect. Our failure to enforce any right or provision will not constitute a waiver of such right or provision.
